Terms of Use and Content Consent Agreement

This agreement is a legally binding contract between you and DeafAI, Inc. By accessing the app and submitting, uploading, or otherwise providing any video recordings, including ASL interpretation videos, you agree to be bound by the terms below. If you do not agree, do not upload or provide content.

1. 1. Ownership of Content and Intellectual Property

   By uploading, submitting, or providing any video content, including ASL interpretation videos, training data, and any associated audio or text, you acknowledge and agree that all submitted user content becomes the sole and exclusive property of DeafAI, Inc. immediately upon upload or transmission.

   You retain no rights, title, or interest in that user content, including copyrights, publicity rights, or other intellectual property rights. To the fullest extent permitted by law, you irrevocably waive any moral rights or rights of attribution and integrity regarding that content.

2. 2. Unrestricted Right to Use

   You grant DeafAI, Inc., its successors, and assigns, the absolute, irrevocable, and unrestricted right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, display, and monetize the user content worldwide, in any manner and in any media now known or later developed.

   This includes use for artificial intelligence and machine learning model training, commercial products and services, software development, and marketing, promotional, and educational materials.

3. 3. Privacy and Data Security

   DeafAI, Inc. collects the video content you provide, which may contain your voice, physical likeness, and biometrics. We process this data in accordance with our Privacy Policy.

   We may attempt to de-identify or aggregate user content before using it in broader machine learning models. However, because video inherently reveals physical likeness, absolute anonymity cannot be guaranteed.

4. 4. No Right to Data Deletion

   Because user content becomes the sole and exclusive property of DeafAI, Inc. immediately upon upload to train our artificial intelligence models, you do not have the right to request deletion or removal of submitted videos.

   You acknowledge that removing specific training data from an actively trained AI model may be technologically impossible or prohibitively burdensome, and you waive any right to data erasure or the right to be forgotten regarding that specific video content to the maximum extent permitted by law.

5. 5. Age Restrictions

   You must be at least 18 years of age to create an account, access the product, and submit user content on your own behalf.

   If you are under 18, you may not create an account, upload content, or otherwise use the service.

6. 6. No Compensation

   You acknowledge and agree that you are providing user content voluntarily and will not receive any financial compensation, royalties, or remuneration of any kind for that content or for the rights granted to DeafAI, Inc.

7. 7. Representations and Warranties

   You represent and warrant that you have the full right, power, and authority to enter into this agreement and grant the rights stated in it.

   You further warrant that the user content is your own original work, or that you have secured all necessary permissions and releases from any third parties appearing in the videos.

   You also warrant that the content does not infringe copyrights, trademarks, privacy rights, publicity rights, or any other proprietary rights, and that it contains no sexually explicit, profane, or otherwise offensive images, audio, or text.

   DeafAI, Inc. reserves the right to reject, remove, or delete any user content that violates this standard at its sole discretion and without notice.

8. 8. Limitation of Liability

   To the maximum extent permitted by law, DeafAI, Inc. is not liable for any direct, indirect, incidental, special, or consequential damages resulting from your submission of user content or our subsequent use of that content.

9. 9. Governing Law and Jurisdiction

   This agreement is governed by the laws of the State of Georgia, USA, without regard to conflict-of-law principles. For disputes not subject to arbitration, both parties consent to the exclusive jurisdiction of the state and federal courts located in Georgia.

10. 10. Mandatory Arbitration

    Any dispute, claim, or controversy arising out of or relating to this agreement, or its breach, termination, enforcement, interpretation, or validity, will be determined by final and binding arbitration rather than in court.

    The arbitration will be administered by the American Arbitration Association under its Commercial Arbitration Rules, with the place of arbitration in Georgia, USA, unless otherwise mutually agreed.

    You agree that any arbitration or proceeding is limited to the dispute between DeafAI, Inc. and you individually, and you waive the right to participate in a class action lawsuit.

11. 11. Severability

    If any provision of this agreement is held invalid, illegal, or unenforceable by an arbitrator or court of competent jurisdiction, the remaining provisions remain in full force and effect.

12. 12. Entire Agreement

    This agreement constitutes the entire and exclusive understanding between you and DeafAI, Inc. regarding your submission of video content and supersedes any prior oral or written understandings, promises, representations, or agreements on that subject.

By clicking "I Accept" or "I Consent," or by uploading any video content to the app, you acknowledge that you have read, understood, and agreed to all terms and conditions of this agreement.
